Terms of Service

Happy Portuguese provides online Brazilian Portuguese instruction, taught by Dra. Carla Dias, including programs for adults, executives, CELPE-Bras candidates, and children/teenagers.

We offer online language classes and related materials, which may include:

• A free first class / placement session;
• 1:1 and small-group classes;
• The CELPE-Bras Intensive, Business Portuguese, Adult Classes, and Young Learners programs;
• Learning materials and communication support (e.g. WhatsApp).

Specific class details, durations, and inclusions are described on the Site and confirmed at booking. We may update or improve our services over time.

You must be at least 18 years old to purchase classes or enter into these Terms.

Classes for children and teenagers must be arranged, paid for, and consented to by a parent or legal guardian, who accepts these Terms on the child's behalf and is responsible for the child's use of the service. By arranging classes for a minor, you confirm you are their parent or legal guardian.

• The free first class is a one-time placement session offered at our discretion, with no obligation to enrol.
• Classes are scheduled by mutual arrangement. Times are based on BRT (UTC-3) unless otherwise agreed.
• You are responsible for attending booked classes at the agreed time and for having a working internet connection and device.

• Prices for classes and packages are as shown on the Site or as quoted to you, in US Dollars (USD).
• Payment is due in advance via our payment provider.
• Packages are monthly and paid in advance; each package is valid for the month for which it is purchased.
• We may change prices for future purchases; changes do not affect classes you have already paid for.

• Cancellation: Either you or we may cancel ongoing classes at any time, without justification or penalty, provided notice is given by email at least 15 calendar days in advance.
• Rescheduling: You may reschedule an individual class with at least 24 hours' notice.
• Missed classes: A class missed without notice is counted as delivered.
• Refunds: When classes are cancelled with the required 15 days' notice, any amount already paid for that month's classes is refunded to you, with only the classes already taken deducted.

Nothing in this section limits any non-waivable rights you have under the Brazilian Consumer Protection Code (Código de Defesa do Consumidor) or other applicable consumer law.

All teaching materials, the "500 Expressions" ebook, methods, and content are the intellectual property of Happy Portuguese (or its licensors) and are protected by law. You receive a personal, non-transferable, non-exclusive licence to use them for your own learning. You may not copy, redistribute, resell, or create derivative works from them without our written consent.

You agree to treat your teacher with respect and to use the Site and services lawfully. You may not use our services to harass, infringe others' rights, or for any unlawful purpose. We may suspend or end services for serious or repeated breaches of these Terms.

We may communicate with you about your classes by email and, where you choose, WhatsApp. WhatsApp messaging is subject to WhatsApp's own terms and privacy practices. You can ask us to change how we contact you at any time.

We are committed to high-quality teaching, but language learning depends on many factors including your own effort and practice. We do not guarantee any specific outcome, fluency level, or result on any examination, including the CELPE-Bras. Our role is to provide expert instruction and preparation, not to guarantee a passing grade.

To the extent permitted by law, we are not liable for indirect, incidental, or consequential damages arising from your use of the Site or services. Nothing in these Terms excludes liability that cannot be excluded under Brazilian law, including under the Consumer Protection Code. Where our liability cannot be excluded, it is limited to the amount you paid for the relevant service.

The Site and services may rely on or link to third-party tools (e.g. video conferencing, payment, messaging). We are not responsible for the content or practices of third parties; their own terms apply.

You may stop using our services at any time. We may suspend or terminate access where you breach these Terms, where required by law, or if we cease offering a service, subject to any refund obligations under Section 6 and applicable law.

These Terms are governed by the laws of the Federative Republic of Brazil. Any disputes will be subject to the courts of Santos – SP, without prejudice to any mandatory consumer-protection rights that allow a consumer to bring proceedings in their own place of domicile.

We may update these Terms from time to time. The current version is always posted here with its "Last updated" date. Continued use of our services after changes means you accept the updated Terms.
